Allgemeine Regelungen

Die Handelsplattform „B2B-Eurocenter.com/ .de/ .biz / .eu und B2B-Eurotrade.com/ .de / .eu ist Eigentum der B2B-Eurocenter und bietet den Nutzern (Mitgliedern) eine geschlossene Mitgliederplattform für den internationalen Business-to-Business Handel mit Waren und Dienstleistungen aller Art. Die auf der Plattform geschlossenen Verträge kommen unmittelbar und ausschließlich zwischen den jeweiligen Nutzern zustande und werden außerhalb der Plattform erfüllt und abgewickelt. B2B-eurocenter dient somit rein der Geschäftsanbahnung und ist nicht Partei des Kaufvertrages.

Benutzerkreis / Nutzungsbedingungen

Voraussetzung für eine Nutzung der Plattform ist ein Auftrag zur Registrierung bei B2B-Eurocenter.com. Nur registrierten und freigeschalteten Nutzern steht der Gebrauch von B2B-Eurocenter.com zur Verfügung. Vor der Nutzung ist das Registrierungsformular online von den Interessenten auszufüllen und an die B2B-Eurocenter zu senden. Die Nutzung der Plattform steht registrierten Nutzern, die Kaufleute und Händler im Sinne des HGB sind sowie Unternehmen im Sinne des § 14 BGB und Freiberuflern zu. Verbraucher in Sinne des § 13 BGB sind von der Benutzung von B2B-Eurocenter.com ausgeschlossen!

Anmeldung, Registrierung und Vertragslaufzeit

Die Registrierung als Standardmember bei B2B-Eurocenter.com ist kostenlos. Im Kundenmenü stehen weitere kostenpflichtigen Memberoptionen zur Verfügung. Informationen über Leistungen und Preise sind unter „Membership“ einsehbar. Mit der Kenntnisnahme der AGB und Einverständnis mit ihrer Geltung kommt der Vertrag zwischen B2B-Eurocenter und dem Nutzer zustande. Der Vertrag hat eine Laufzeit von zwölf Monaten und berechtigt zur Nutzung von B2B-Eurocenter.com mach Maßgabe dieser AGB. Nach Ablauf von 12 Monate verlängert sich dieser Vertrag nicht automatisch. Er kann jedoch jeweils für 12 Monate neu abgeschlossen werden. Der Nutzungsinteressent sichert zu, dass alle von ihm gemachten Angaben wahr und vollständig sind und er insbesondere die Nutzungsbedingungen erfüllt. Handelt es sich bei dem Nutzer nicht um eine natürliche Person, so hat die für den Nutzer handelnde Person auf Anforderung von B2B-Eurocenter ihre Vertretungsmacht für den Nutzer nachzuweisen. Die Freischaltung und Zulassung zur B2B-Eurocenter.com, sowie die rechtswirksame Annahme des Nutzungsvertrages erfolgt durch Benachrichtigung des Nutzungsanwärters durch die B2B-Eurocenter per Email und zeitgleiche Freischaltung des Accounts (Benutzername und Passwort) des Nutzungsanwärters im System von B2B-Eurocenter.com. Dieser verpflichtet sich dafür Sorge zu tragen, den Benutzernamen und das Passwort vor Zugriff Dritter zu schützen und jeden Missbrauch dieser Daten, den er erkennt oder vermutet, der B2B-Eurocenter unverzüglich mitzuteilen. Es besteht kein Anspruch auf den Abschluss eines solchen Nutzungsvertrages. Die B2B-Eurocenter behält sich vor, diesen und die Nutzung von B2B-Eurocenter.com ohne Angaben von Gründen zu verweigern. Der Nutzer verpflichtet sich gegenüber der B2B-Eurocenter, alle Änderungen der bei der Anmeldung angegebenen Daten unverzüglich mitzuteilen.

Nutzung von B2B-Eurocenter.com

Der Nutzer versichert, dass alle Angaben, insbesondere auf die angebotenen Produkte und Dienstleistungen bezogen, richtig und zutreffend sind. Der Anbieter versichert, dass er zur uneingeschränkten Verfügung über ein angebotenes Produkt befugt und dieses nicht mit Rechten Dritter belastet ist. Der Nutzer verpflichtet sich, die Plattform B2B-Eurocenter.com ausschließlich für das Angebot und Gesuche erlaubter Waren und Dienstleistungen und den Abschluss von legalen Geschäften im Sinne des Deutschen Rechtes zu nutzen und die gesetzlichen Bestimmungen zu beachten. Angebot, Gesuche und Vertrieb von Waren und Dienstleistungen dürfen keine gewerbliche Schutzrechte (Marken, Patente, Gebrauchs- und Geschmacksmuster), Urheber- oder Leistungsschutzrechte sowie sonstige Rechte verletzen. Unzulässig sind außerdem: Links zu weiterführenden Homepages und E-Mail-Adressen, allgemeine Beschreibungen des Anbieters und dessen Portfolio (diese können je nach gebuchter Mitgliedschaft als Companyprofil angelegt werden) sowie Inhalte, die Gewalt verherrlichender oder pornografischer Art sind oder sonst gegen Bestimmungen des Strafgesetzbuchs verstoßen; Eingaben, die Viren, trojanische Pferde oder andere Programme enthalten, die geeignet sind, Daten oder Systeme zu schädigen, heimlich abzufangen oder zu löschen. Der Nutzer stellt B2B-Eurocenter von sämtlichen Ansprüchen frei, die andere Nutzer oder Dritte gegenüber B2B-Eurocenter wegen Verletzung ihrer Rechte durch die von dem Nutzer eingestellten Angebote oder Inhalte geltend machen. Der Nutzer übernimmt hierbei auch die Kosten der notwendigen Rechtsverteidigung. B2B-Eurocenter behält sich vor, gegen geltendes Recht und diesen AGB verstoßende Angebote und Gesuche zu löschen und Nutzer, die den harmonischen Ablauf der Geschäftsanbahnung auf B2B-Eurocenter.com stören, von dieser Plattform ohne Angabe von Gründen auszuschließen. Hierbei hat der ausgeschlossene Nutzer kein Anspruch auf Erstattung des bezahlten Jahresbeitrags. Die B2B-Eurocenter ist weder für Inhalt auf der Plattform B2B-Eurocenter.com noch auf Seiten Dritter auf die durch B2B-Eurocenter verwiesen wird verantwortlich. B2B-Eurocenter toleriert kein sogenannten „Spam“ (Überfüllen, übermäßiges Fluten) der Plattform B2B-Eurocenter.com.

Umgang mit Daten

B2B-Eurocenter ist im Rahmen des Vertragszwecks berechtigt, Teilnehmerdaten zu erheben, zu verarbeiten, zu speichern sowie zu eigenen Zwecken zu nutzen. B2B-Eurocenter ist insbesondere berechtigt, Teilnehmerdaten (a) im Rahmen der von B2B-Eurocenter vorgenommenen Dienstleistungen zu veröffentlichen und weiterzuleiten, (b) im Rahmen gesetzlicher Verpflichtungen den berechtigten Stellen mitzuteilen und (c) bei der Inanspruchnahme durch Dritte aufgrund einer angeblichen Rechtverletzung diesen die Kontaktdaten des Nutzers mitzuteilen. In Anlehnung an die Telekommunikationsanbieter und Provider geltende Vorschrift speichert B2B-Eurocenter die jeweiligen Angebotsbezogenen Daten (Angebot, Text, Änderungen und auch Email) regelmäßig. Weiterhin willigt der Nutzer ein, dass sein Name, Anschrift, Emailadresse sowie die übrigen zur Abwicklung des Geschäftes notwendigen Kontaktdaten im Rahmen des normalen Geschäftsbetriebes durch B2B-Eurocenter an den jeweiligen Interessenten und/oder Vertragspartner zum Zwecke der Vertragsanbahnung und Vertragsabwicklung übermittelt werden.

Schlussbestimmungen

Die Handelsplattform B2B-Eurocenter.com wird ohne jegliche Zusicherung in bezug auf Verfügbarkeit und Qualität zur Verfügung gestellt. Insbesondere besteht kein Anspruch auf Ausfallentschädigung, wenn die Plattform B2B-Eurocneter.com infolge technischer Wartungsarbeiten temporär nicht zur Verfügung steht. Auf die zwischen den Nutzern der Handelsplattform abgeschlossenen Verträge findet, soweit keine andere Vereinbarung getroffen wird, das Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts Anwendung. Dieser Vertrag unterliegt dem Recht der Bundesrepublik Deutschland. Internationale Abkommen oder Verträge, die von diesem Recht abweichen, sind nicht anwendbar. Gerichtsstand für alle auf Grundlage dieser Geschäftsbedingungen abgeschlossenen Verträge zwischen B2B-Eurocenter und dem Nutzer ist Braunschweig, soweit dieser Kaufmann im Sinne des Handelsgesetzbuches ist.

Änderungen dieser AGB und salvatorische Klausel

Alle Erklärungen gegenüber B2B-Eurocenter bezüglich des abgeschlossenen Nutzungsvertrages sind schriftlich oder per Email abzugeben. B2B-Eurocenter kann diese AGB jederzeit ohne Angabe von Gründen ändern. Die geänderten Allgemeinen Geschäftsbedingungen werden jedem registrierten Nutzer per Email zugesandt. Widerspricht der Nutzer der Fassung der neuen AGB nicht innerhalb von zwei Wochen nach Zustellung, gilt die Änderung als angenommen. Diese Bestimmung gilt als durch seine solche ersetzt, die den Sinn und Zweck der unwirksamen Bestimmung in rechtswirksamer Weise wirtschaftlich am nächsten kommt. Gleiches gilt für etwaige Regelungslücken. Nebenabreden bedürfen der Schriftform.

The commercial platform B2B-Eurocenter.com/.de/.biz/.eu and B2B-Eurotrade.com/.de/.eu is property of the B2B-Eurocenter and a closed member platform offers international business to business trade to the users (members) with goods and services of every kind. The contracts entered on the platform take place exclusively between the respective users and are fulfilled and dealt with outside the platform. B2B-Eurocenter therefore serves the invitation to treat purely and is not party of the sales contract.

User circle / Terms of use

Prerequisite for a use of the platform is an registration at B2B-Eurocenter.com. The use of B2B-Eurocenter.com is at users who are registered and activated. Before the use the online registration form has to be filled out by the interested parties and sent to B2B-Eurocenter. The use of the platform is entitled to registered users which are merchants or dealers according to the german HGB, as well as enterprise according to the german § 14 BGB and self-employed persons. Consumers in senses of the german § 13 BGB are excluded from the use of B2B-Eurocenter.com! Registration, registration and contract period The registration as a standard member at B2B-Eurocenter.com is free. Additional membership options with costs are available in the customer menu. Information about performances and prices is listed and described under "Membership". With the information of the GTC and agreement to its validity the contract takes place between B2B-Eurocenter and the user. The contract stipulation of this GTC has a running time of twelve months and entitles to use B2B-Eurocenter.com. After expiry of 12 month this contract does not automatically prolong itself. It can respectively be concluded newly for 12 months. The use interested party assures that all details made by him are true and complete and he fulfils particularly the terms of use. If the user is not an individual person, then the person acting for the user has to prove his authority of an agent upon request from B2B-Eurocenter for the user. The free wiring and admittance to B2B-Eurocenter.com as well as the valid acceptance of the license agreement is made by notification of the use candidate by B2B-Eurocenter by e-mail and contemporaneous free wiring of the account (user name and password) of the use candidate in the system of B2B-Eurocenter.com. This obliges to inform itself immediately for this about worry about carrying, protecting the user name and the password from accessing by third parties and which it recognizes or suspects abusing any of these data. The user assures that all details are correct, related to the offered products and services particularly. The user obliges himself to observe the platform of permissible B2B-Eurocenter.com exclusively for the supply and petitions goods and services and the completion of legal business according to the german right to use and the legal regulations. The user also takes on the costs of the necessary on the right defence with this. B2B-Eurocenter reserves for itself to exclude without detail of reasons to delete violating offers and petitions against existing law and this GTC and users who disrupt the harmonious expiry of the invitation to treat on B2B-Eurocenter.com from this platform. Among this the impossible user has no claim to refund of the paid annual subscription. B2B-Eurocenter tolerates none so-called "spam" (overfill, flood excessive) of the platform B2B-Eurocenter.com.

Dealing with data
